This Membership Agreement (“Agreement”) is entered into by and between The Renovation Room, LLC (“The Renovation Room,” “we,” “us,” or “our”) and the registering contractor, business, or professional (“Member,” “you,” or “your”).

By submitting a membership application, completing payment, or renewing membership, you agree to be legally bound by the terms below.

1. Membership Classification

Membership is offered under designated categories, including but not limited to:

• Contractor Membership
• Business / Professional Membership

Any individual or entity providing renovation, construction, or trade-related services (including but not limited to plumbing, electrical, HVAC, roofing, landscaping, cleaning, or similar services) must register under the Contractor Membership classification, regardless of additional business types owned.

Attempting to register under an alternate classification to avoid the Contractor rate constitutes a violation of this Agreement and may result in termination.

2. Term, Renewal & Grandfather Rates

(a) Term

Membership begins on the date of registration and continues on a monthly or annual basis, depending on the selected plan.

(b) Automatic Renewal

Membership dues may be billed on a recurring basis unless canceled prior to renewal.

(c) Grandfathered Rates

Special or grandfathered pricing remains valid only while membership remains active and continuous.

If membership is canceled, lapses, or is terminated for any reason, grandfathered pricing is forfeited. Rejoining requires payment at the current prevailing rate.

3. Payment of Dues & Fees

Member agrees to pay all dues, fees, and assessments associated with their membership level.

• Membership fees are non-refundable once access to benefits, directory listings, leads, or member platforms has been granted.
• Optional services, events, sponsorships, or premium features may incur additional fees.
• Member is responsible for all business-related expenses incurred through participation.

4. Conduct & Professional Standards

Members agree to:

• Maintain valid licenses, insurance, and certifications as required by law.
• Operate ethically and professionally.
• Refrain from fraud, misrepresentation, discrimination, or deceptive practices.
• Conduct themselves in a manner that upholds the integrity of The Renovation Room community.

Bad Business Clause

Repeated complaints, unethical conduct, failure to complete contracted work, or actions that damage the reputation of The Renovation Room may result in immediate suspension or termination.

Rejoining Under a New Name

If a terminated Member attempts to rejoin under a different business name or entity to avoid prior disciplinary action, The Renovation Room reserves the right to deny membership without refund.

5. Facebook Group & Platform Access

The Renovation Room Facebook group and affiliated platforms are private communities intended for active members.

• Access is a privilege granted to current members.
• Upon cancellation, expiration, or termination of membership, access may be revoked immediately.
• Non-member contractors may be removed from the group at the discretion of administration.
• Reentry may be granted upon activation of an approved membership.

6. Confidentiality

Project leads, client information, referral opportunities, and internal communications are confidential and proprietary to The Renovation Room.

Members agree not to share, distribute, or transfer such information to non-members.

7. No Guarantee of Work

Membership provides networking visibility and promotional opportunities only.

The Renovation Room does not guarantee leads, contracts, revenue, or business outcomes.

Members operate as independent businesses and are solely responsible for their services.

8. Limitation of Liability

The Renovation Room, LLC, its officers, affiliates, and representatives shall not be liable for any direct, indirect, incidental, consequential, or business damages arising from:

• Member participation
• Referrals or leads
• Business disputes between Members or third parties
• Use of the website or affiliated platforms
  
  

9. Waiver of Liability & Chargeback Protection

Member releases and waives any claims against The Renovation Room arising from participation in membership services.

Member agrees not to initiate chargebacks or payment disputes once membership benefits have been accessed, except where required by law.

This waiver shall be enforceable to the fullest extent permitted under Illinois law.

10. Dispute Resolution

Any dispute arising under this Agreement shall first attempt informal resolution.

If unresolved, disputes shall be settled by binding arbitration in the State of Illinois under the rules of the American Arbitration Association.

Each party shall bear its own legal costs unless otherwise determined by the arbitrator.

11. Media Release

Member grants The Renovation Room the right to use Member’s business name, logo, likeness, images, and submitted project materials for marketing and promotional purposes without compensation.

Members may opt out prospectively by written notice to admin@therenovationroom.com.

12. Governing Law

This Agreement shall be governed by the laws of the State of Illinois.

13. Entire Agreement

This Agreement, together with the Terms of Use and Privacy Policy, constitutes the entire understanding between the parties and supersedes prior agreements.
